1. The Platform

“Platform” means GolfBooking’s software and services, including all applications, APIs, and integrations, regardless of access method.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes.

2. Your Account

You agree to:

• Provide accurate information
• Maintain security of your credentials
• Be responsible for all activity under your account

You may not:

• Copy, resell, sublicense, or exploit the Platform
• Reverse engineer or attempt to access source code
• Use the Platform unlawfully or to harm others

3. Subscription & Term

• Subscriptions begin upon signup
• Automatically renew unless cancelled
• You may cancel at any time

4. Fees & Billing

4.1 General

You agree to pay all applicable fees.

4.2 Credit Card Billing

If you provide a credit card:

• You authorize us to automatically charge your card on the first (1st) day of each billing cycle for all applicable fees
• Failed payments may result in suspension or termination of your access to the Platform

4.3 Invoice Billing

If you are approved for invoice billing:

• Invoices will be issued on the first (1st) day of each billing cycle
• All invoices are payable within thirty (30) days of the invoice date (NET 30)
• We may perform credit checks or financial reviews and may modify billing terms or require a credit card at any time

4.4 Late Payments

• Overdue balances may incur 2% monthly interest
• We may suspend service for non-payment

4.5 Additional Fees

• Transaction fees may apply (e.g., payment processing)
• Per-booking fees may apply where no active subscription exists

5. Suspension Rights

We may suspend or restrict access immediately if:

• Payment is overdue
• Your usage poses security, legal, or operational risk
• You breach these Terms

We are not liable for any losses resulting from suspension.

6. Data

• You retain ownership of your data
• You grant us rights to use it to operate, maintain, and improve the Platform

Data Retention

We may delete your data after account termination. We are not responsible for retaining or restoring data unless otherwise agreed.

7. Intellectual Property

The Platform is licensed, not sold.

All rights remain with GolfBooking and its licensors.

8. Termination

8.1 By You

You may cancel at any time.

8.2 Reinstatement

If you cancel and later resume service:

We may charge a reinstatement fee equal to the greater of (i) three (3) months of your most recent subscription fees, or (ii) $500 CAD.

This may apply if reactivated within 12 months and may be waived at our discretion.

8.3 By Us

We may terminate immediately if:

• You breach these Terms
• Required payments are not made
• Your use creates risk or liability

9. Confidentiality

You agree not to disclose any non-public or proprietary information related to the Platform.

10. Disclaimers

The Platform is provided “as is” and “as available.”

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Availability, accuracy, or reliability

Use is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, revenue, or data

Liability Cap

Our total liability under these Terms will not exceed the amount paid by you in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless GolfBooking from any claims, damages, liabilities, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

13. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including:

• Internet outages
• Payment processor failures
• Natural disasters
• Government actions

14. Publicity

We may identify you as a customer in marketing materials, with your consent.

15. Governing Law

These Terms are governed by the laws of Ontario, Canada.

16. General

• These Terms are the entire agreement
• You may not assign without our consent
• We may update these Terms with notice
• Continued use constitutes acceptance
